1. Acceptance of Terms

By accessing or using United GRC's website, platform, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

United GRC provides governance, risk, and compliance (GRC) software and professional services designed to help organizations achieve and maintain compliance with various regulatory frameworks including CMMC, NIST, ISO 27001, SOC 2, and others.

3. User Accounts

3.1 Account Creation

To access certain features of our Services, you may be required to create an account. You agree to:

Provide accurate, current, and complete information
Maintain and update your information to keep it accurate
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Acceptable Use

You agree not to:

Use the Services for any illegal or unauthorized purpose
Violate any applicable laws or regulations
Interfere with or disrupt the Services or servers
Attempt to gain unauthorized access to any part of the Services
Upload viruses, malware, or other malicious code
Harass, abuse, or harm other users
Impersonate any person or entity
Collect or store personal data about other users without consent

5. Intellectual Property Rights

5.1 Our Rights

All content, features, and functionality of the Services, including but not limited to text, graphics, logos, software, and design, are owned by United GRC and are protected by copyright, trademark, and other intellectual property laws.

5.2 Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.

5.3 User Content

You retain ownership of any content you upload to the Services. By uploading content, you grant us a worldwide, non-exclusive license to use, store, and process that content to provide the Services.

6. Payment and Billing

6.1 Fees

Certain features of the Services require payment of fees. You agree to pay all applicable fees as described on our pricing page or in your service agreement.

6.2 Billing

Fees are billed in advance on a monthly or annual basis, as selected. All fees are non-refundable except as required by law or as explicitly stated in your service agreement.

6.3 Price Changes

We may change our fees with 30 days' notice. Continued use of the Services after the price change constitutes acceptance of the new fees.

7. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. We implement appropriate security measures to protect your data, but we cannot guarantee absolute security.

8. Service Level and Availability

While we strive to provide reliable Services, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. We reserve the right to modify, suspend, or discontinue any part of the Services at any time.

9. Professional Services

Any professional services (consulting, implementation, training) are governed by separate service agreements. The scope, deliverables, and terms of such services will be outlined in a Statement of Work (SOW).

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

United GRC does not warrant that the Services will meet your requirements or achieve compliance with any specific regulatory framework. Compliance is ultimately your responsibility.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITED GRC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify, defend, and hold harmless United GRC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

13. Third-Party Services

Our Services may integrate with third-party services. We are not responsible for the availability, accuracy, or content of such third-party services.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

15. Termination

Either party may terminate these Terms at any time. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will survive.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country.

18. Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and United GRC regarding the Services.
